    Supplemental Agreement to Audio & Hooks Studio Service Agreement

    Purpose of This Addendum

    This Addendum establishes the terms under which Audio & Hooks Studio ("Company") will provide production documentation and support to Client for the purpose of filing accurate copyright registration applications with the U.S. Copyright Office or other government authorities.

    This Addendum applies when Client requests documentation describing the production methodology of deliverables that may include algorithmic stem generation and machine-assisted composition as part of a human-directed production workflow.

    Client Obligations and Acknowledgments

    Accurate Disclosures

    Client acknowledges sole responsibility for making complete and accurate disclosures to government copyright registration authorities regarding production methodology. Client agrees to disclose:

    • All elements created or arranged by human authors
    • All elements generated or significantly modified by machine or algorithmic tools
    • The specific role and extent of Company's involvement in each production phase
    • Any other material facts relevant to copyright registration eligibility

    No Misrepresentation

    Client explicitly agrees NOT to submit copyright registration applications that:

    • Claim exclusive human authorship when machine-assisted elements were used
    • Omit or minimize disclosure of algorithmic stem generation or AI-assisted composition
    • Misrepresent Company's role or the extent of Company's creative contribution
    • Violate any U.S. Copyright Office regulations or applicable law

    Legal Counsel Optional

    Client is encouraged to consult with qualified intellectual property counsel to ensure compliance with copyright registration requirements and to develop an appropriate filing strategy. Company does not provide legal advice and is not responsible for legal decisions made by Client.

    Services Provided by Company

    1. Production Documentation

    Upon written request, Company will provide a detailed breakdown of each deliverable that includes:

    • Track name and duration
    • Type of deliverable (Brand Theme, Sonic Logo, UI Sound, etc.)
    • Specific human-authored elements (songwriting, arrangement, editing, sound design, mixing, mastering)
    • Specific machine-assisted elements and tools used (e.g., "Algorithmic stem generation v3.2")
    • Percentage estimate of human creativity vs. algorithmic processing (where applicable)
    • Date of creation and final delivery date

    2. Clarification and Explanation

    Company will, upon reasonable request, clarify the production process, answer specific questions about the creation methodology, and provide context for how hybrid production elements were combined to create deliverables.

    3. Response Timeline

    Company will provide documentation within 10 business days of written request. Requests for extensive additional clarification may require additional time (up to 20 business days) or may incur additional consulting fees if they exceed typical scope.

    Company Limitations and Disclaimers

    1. No Legal Advice

    Company is a music production company, not a law firm. Documentation and explanations provided are for informational purposes only and do not constitute legal advice. Client is solely responsible for consulting with qualified IP counsel regarding copyright registration compliance.

    2. No Government Representation

    Company does not submit copyright registration applications on Client's behalf, does not represent Client before the U.S. Copyright Office, and does not guarantee acceptance of any registration application by government authorities.

    3. No Warranty of Registration Eligibility

    Company makes no representation regarding whether deliverables are eligible for copyright registration, whether they meet U.S. Copyright Office requirements, or whether registrations will be approved, rejected, or require amendment after filing.

    4. No Modification of Original Agreement

    This Addendum does not modify the ownership, license scope, or permitted uses of deliverables as specified in the original Service Agreement. Copyright registration support is an optional ancillary service and does not alter Client's rights or Company's rights under the primary agreement.

    5. Future Indemnification

    Client agrees to indemnify and hold harmless Company from any claims, disputes, damages, or expenses arising from Client's copyright registration filings, including but not limited to government inquiries, registration rejections, or disputes about the accuracy or completeness of disclosures made by Client.

    Agreement and Execution

    By signing below, both parties acknowledge that they have read this Addendum, understand its terms, and agree to be bound by its conditions. This Addendum is effective as of the date last signed below and is incorporated into and made part of the original Service Agreement between the parties.
