    Service Agreement

    This Enterprise Retainer Service Agreement ("Agreement") is entered into between Audio & Hooks Studio LLC, a Nevada Limited Liability Company ("Company," "we," "us," or "our"), and the Client ("Client," "you," or "your") for the provision of ongoing enterprise-level audio branding services and strategic partnership as specified herein.

    Definitions

    Brand Theme

    The primary 60-second musical composition specifically created for the Client's brand identity, designed to evoke the brand's personality, values, and target audience.

    Cut-Down Versions

    Shorter adaptations of the full Brand Theme, including 30-second and 15-second versions, precisely timed for standard commercial advertising formats while maintaining musical integrity.

    Mix Versions

    Alternative audio presentations of the same composition, including: (a) Vocal Mix - full version with all vocal elements; (b) Instrumental Mix - background music without vocals for voice-over applications; (c) A-cappella Mix - isolated vocals without instrumental backing.

    Stems

    Individual audio tracks that comprise the final mix, including but not limited to: vocals (lead and backing), guitar, drums (kick, snare, toms, cymbals), bass, keyboards/piano, synthesizers, effects (reverb, delay, modulation), and any additional sound design elements used in the composition.

    Sonic Logo

    A 3-5 second audio mnemonic or signature sound derived from the main Brand Theme, designed for instant brand recognition and recall across all media platforms.

    Micro-Loops

    Short 5-8 second musical segments designed for seamless looping in social media content, optimized for platforms like Instagram Reels, TikTok, and YouTube Shorts with various emotional tones.

    Campaign Variations

    Alternative versions of the Brand Theme with different energy levels, emotional tones, or stylistic adaptations for specific marketing campaigns, demographics, or seasonal contexts.

    Extended Campaign Theme Library

    A comprehensive collection of additional musical themes beyond the core Brand Theme, including seasonal adaptations, demographic-targeted versions, mood-specific variations, and industry-context adaptations, all maintaining consistent brand DNA.

    Strategic Audio Consultation

    Professional advisory services including brand audio strategy development, competitive landscape analysis, platform-specific implementation recommendations, ROI measurement frameworks, and comprehensive audio brand guidelines.

    Service Level Agreements (SLAs)

    Guaranteed performance standards and response times for service delivery, including response times, turnaround periods, delivery schedules, and quality standards that the Company commits to maintaining throughout the contract term.

    Dedicated Account Management

    Assigned senior-level account manager who serves as the primary point of contact, responsible for relationship management, project coordination, strategic planning, and ensuring all service commitments are met.

    Quarterly Strategic Sessions

    Comprehensive quarterly meetings focused on strategic planning, performance analysis, market trends, campaign development, ROI assessment, and long-term brand evolution planning.

    Mastered

    The final audio processing stage where the mix is optimized to industry broadcast standards (-16 LUFS integrated loudness), ensuring consistent volume levels and sonic quality across all playback systems.

    Revision Round

    A complete cycle of client feedback and Company modifications, allowing for comprehensive changes to the composition, arrangement, strategic recommendations, or production elements as specified by the Client.

    Creative Brief

    A detailed document provided by the Client outlining brand identity, target audience, style preferences, reference materials, strategic objectives, and specific requirements for the musical composition and audio branding strategy.

    Package Description

    Complete Premium Suite plus ongoing strategic partnership with dedicated account management, quarterly strategy sessions, unlimited revisions, and priority creative support for enterprise-scale audio branding initiatives and campaign development throughout the contract term.

    Payment Policies

    Client receives an exclusive enterprise commercial license and assignment of Company-authored rights as permitted by law for commissioned deliverables, plus enterprise-level usage permissions including subsidiary usage, international expansion rights, and derivative work rights throughout and beyond the contract term. Deliverables may be created using a human-directed hybrid workflow that includes algorithmic stem generation.

    Partner Network Services

    Company maintains strategic partnerships with specialized service providers for requirements beyond our core audio branding expertise. Enterprise clients receive preferential rates and priority access to our partner network, including video production studios, software development teams, legal counsel, and international localization services.

    Legal Terms and Conditions

    1. Governing Law and Jurisdiction

    This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles. Any legal proceedings shall be conducted in Clark County, Nevada.

    2. Dispute Resolution

    Any disputes arising under this Agreement shall be resolved through binding arbitration in Clark County, Nevada, in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The prevailing party shall be entitled to reasonable attorneys' fees and costs. Expedited arbitration procedures available for disputes under $50,000.

    3. Force Majeure

    Neither party shall be liable for any failure to perform due to causes beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, pandemic, or industry-wide technical failures. Force majeure events extend performance deadlines proportionally.

    4. Quality Standards and Professional Warranties

    Company warrants that: (a) it has sufficient rights and authority to grant contracted usage rights for delivered materials, including hybrid-produced deliverables; (b) deliverables will meet broadcast industry technical standards including -16 LUFS integrated loudness; (c) all work will be performed using professional-grade equipment and software meeting current industry standards; (d) final deliverables will be free from technical defects for 90 days from delivery; (e) strategic recommendations will be based on current industry best practices and proprietary market research; (f) competitive analysis will cover comprehensive audio branding landscape; (g) dedicated account manager will maintain professional certification in project management. Company does not guarantee acceptance of any copyright registration filing by government authorities.

    5. Service Level Agreement Enforcement

    SLA violations result in service credits: (a) Response time violations: 5% monthly fee credit per incident; (b) Delivery deadline violations: 10% monthly fee credit per incident; (c) Account manager unavailability beyond 24 hours: 2% monthly fee credit; (d) Quarterly session cancellations by Company: $1,000 credit. Credits are applied to following month's invoice and do not excuse Client's payment obligations. Persistent SLA violations (3+ in any quarter) may trigger contract renegotiation discussions.

    6. Limitation of Liability

    Company's total liability under this Agreement shall not exceed the total amount paid by Client in the twelve (12) months preceding the claim. Company disclaims all warranties except those expressly stated herein and makes no guarantees regarding specific business results, marketing performance, customer engagement metrics, revenue generation, competitive market position, or strategic outcome success beyond professional service delivery standards.

    5. Confidentiality and Trade Secrets

    Both parties agree to maintain strict confidentiality of all proprietary information, trade secrets, business strategies, financial information, and creative methodologies shared during the contract term. Confidentiality obligations survive termination of this Agreement in perpetuity for truly confidential information and trade secrets.

    6. Professional Standards and Warranties

    Company warrants that all work will be performed with professional skill and in accordance with industry standards. Company maintains appropriate professional liability insurance and warrants that all deliverables will be original works or properly licensed materials. Any defects must be reported within 90 days of delivery.

    7. Termination and Survival

    Either party may terminate this Agreement with 90 days written notice. Early termination by Client requires payment of remaining contract balance or 6-month penalty, whichever is less. All intellectual property rights, confidentiality obligations, and dispute resolution provisions survive termination.

    8. Entire Agreement and Modification

    This Agreement, together with any executed addenda and the Company's Terms of Service, constitutes the entire agreement between the parties. Modifications require written agreement signed by authorized representatives of both parties. Electronic signatures acceptable for amendments under $10,000.

    7. Client Obligations and Enterprise Partnership Requirements

    Client agrees to: (a) maintain dedicated internal project coordinator as primary Company contact; (b) participate in quarterly strategic sessions with senior decision makers present; (c) provide 48-hour advance notice for urgent requests when possible; (d) consolidate revision requests through designated coordinator; (e) maintain current brand guidelines and provide updates as needed; (f) respond to strategic recommendations within 10 business days; (g) provide annual business objectives and market changes affecting audio strategy. Failure to maintain these obligations may impact service delivery timelines and strategic effectiveness.

    8. Unlimited Revision Boundaries and Abuse Prevention

    "Unlimited revisions" applies to: (a) adjustments to existing deliverables within original creative direction; (b) seasonal updates and campaign adaptations; (c) optimization for new platforms or technical requirements. Unlimited revisions do NOT include: (a) complete re-composition or fundamental genre changes; (b) celebrity talent integration or live orchestra recording; (c) additional campaign themes beyond scope; (d) strategic consulting beyond audio branding; (e) more than 4 revision requests per asset per month (abuse prevention). Excessive revision requests may trigger consultation to refine creative direction and prevent project inefficiencies.

    9. Change of Control and Key Personnel

    Client must provide 30 days written notice of: (a) merger, acquisition, or change of control; (b) significant business model changes affecting audio strategy; (c) key personnel changes in marketing or brand management. Company reserves right to renegotiate terms upon material changes in Client's business structure. Dedicated account manager changes require 60 days notice and formal transition period to maintain service continuity.

    10. Data Security and Confidentiality

    Company maintains enterprise-grade data security including encrypted file storage, secure transmission protocols, and access controls. Both parties agree to maintain strict confidentiality of proprietary information, trade secrets, business strategies, financial information, creative methodologies, and strategic recommendations. Company will sign additional NDAs as reasonably requested. Confidentiality obligations survive contract termination in perpetuity for trade secrets and 7 years for other confidential information.

    11. Breach and Enforcement

    Upon material breach of this Agreement, including but not limited to unauthorized resale of deliverables, licensing to competitors, violation of usage restrictions, misuse of strategic materials, breach of confidentiality obligations, or abuse of unlimited revision policy, Company may: (a) provide written notice requiring cure within 10 days for minor violations, immediate cure for major violations; (b) seek monetary damages equal to 15x the annual contract value for unauthorized commercial exploitation; (c) terminate this Agreement immediately for willful violations with no refund of prepaid fees; (d) seek injunctive relief to prevent ongoing misuse; (e) recover reasonable attorney fees and costs for enforcement actions; (f) revoke all usage rights and access to strategic materials upon uncured material breach; (g) pursue additional remedies available at law or equity. Client acknowledges that breach may cause irreparable harm warranting immediate equitable relief without bond requirement.

    12. Indemnification

    Client agrees to indemnify and hold harmless Company from any claims, damages, or expenses arising from: (a) Client's use of deliverables in violation of this Agreement; (b) Client's misrepresentation of deliverables as Client's original work; (c) Client's combination of deliverables with unlicensed third-party content; (d) any breach of Client's obligations under this Agreement; (e) Client's implementation of strategic recommendations without proper business evaluation; (f) Client's use of competitive analysis information for illegal or unethical purposes; (g) Client's breach of confidentiality obligations. This indemnification survives termination of this Agreement.

    13. AI-Assisted Production and Copyright Filings

    Client acknowledges that deliverables may include algorithmically generated source materials transformed through human-authored production. If Client seeks copyright registration, Client agrees to make accurate disclosures required by law. Upon written request, Company will provide a production breakdown describing human-authored and machine-assisted elements; Company does not provide legal advice. The Copyright Registration Support Addendum is available at /agreements/copyright-support-addendum and is executed only when filing support is requested.

    12. Entire Agreement and Assignment

    This Agreement, together with any executed addenda and the Company's Terms of Service, constitutes the entire agreement between the parties. Client may not assign this Agreement without Company's written consent. Company may assign this Agreement to a successor entity or affiliate with 60 days written notice. This Agreement binds and benefits successors and permitted assigns.

    10. Severability and Compliance

    If any provision is deemed invalid or unenforceable, remaining provisions continue in full effect. Both parties warrant they have authority to enter this Agreement and will comply with all applicable laws and regulations, including international trade regulations if applicable.

    Electronic Contract Disclosure

    Electronic Signatures and Records Act Notice

    Electronic Agreement Consent: By proceeding with electronic signature and payment, you consent to conduct this transaction electronically and agree that electronic signatures will have the same legal effect as handwritten signatures under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and Nevada Revised Statutes Chapter 719.

    Record Retention: You have the right to receive a paper copy of this agreement. Electronic records will be maintained by Audio & Hooks Studio LLC for the duration required by law. You may withdraw consent to electronic records at any time by contacting us in writing.

    Technical Requirements: To access and retain electronic records, you need a device capable of displaying PDF files and internet access. By proceeding, you confirm you meet these requirements.

    How This Agreement Becomes Binding

    1. Offer: This Service Agreement constitutes our offer to provide the specified services.

    2. Acceptance: You accept this offer by: (a) checking the agreement acknowledgment box, (b) providing electronic signature, and (c) submitting payment.

    3. Consideration: Payment of the contract amount in exchange for enterprise-level audio partnership services.

    4. Binding Effect: This Agreement becomes legally binding upon receipt of your payment and electronic acceptance.

    Contract Activation

    This Enterprise Retainer Service Agreement becomes effective upon execution by both parties and receipt of first payment. Account management and strategic services begin immediately upon activation.
