Agreement
This Identity Package Service Agreement ("Agreement") is entered into between Audio & Hooks Studio LLC, a Nevada Limited Liability Company ("Company"), and the undersigned client ("Client"). The Company agrees to provide, and the Client agrees to accept and pay for, the professional audio branding services described in the Scope of Work below. This Agreement incorporates the Company's Terms of Service in full.
The Identity package is cumulative. It includes all 11 deliverables from the Starter baseline (Items 1-11) plus 8 Identity-exclusive deliverables (Items 12-19), for a total of 19 contracted line items.
Definitions
Identity Package - $12,000
A full sonic identity system. Builds on the complete Starter baseline to add a sonic logo, three social media micro-loops, a pre-production genre alignment session, a post-delivery brand-sound consultation, and two additional revision rounds (4 total). Your brand sound, ready for every touchpoint.
Scope of Work - Starter Baseline (Items 1-11)
The Identity package includes the complete Starter scope of work in full. All 11 Starter items are contracted deliverables under this Agreement at the same specification.
Item 1
Brand Theme Composition
1 original musical composition created exclusively for the Client's brand identity. Duration: 60 seconds (±3 seconds). Composed from scratch. No stock music, pre-existing loops, or licensed material of any kind.
Item 2
Ad-Ready Cut-Down: 30-Second Edit
1 precision-edited version of the Brand Theme trimmed to exactly 30 seconds. Preserves the most recognizable melodic hook. Suitable for: radio spots, pre-roll video ads, and standard TV commercial slots.
Item 3
Ad-Ready Cut-Down: 15-Second Edit
1 precision-edited version of the Brand Theme trimmed to exactly 15 seconds. Suitable for: social media ads, YouTube bumper ads, and TV commercial tags.
Item 4
Vocal Mix
Full 60-second Brand Theme with all vocal elements at final mixed and mastered levels.
Item 5
Instrumental Mix
Full 60-second Brand Theme with all vocals removed. Optimized for VO layering, background music, and retail playback.
Item 6
A-Cappella Mix
Isolated vocal performance with all instrumentation removed. For remixing, sync licensing, or standalone vocal use.
Item 7
Full Stems Package
All individual instrument and vocal tracks at full resolution, plus the final mastered stereo bounce. Minimum stems: kick drum, snare/percussion group, bass, chord pads/strings, lead melody, lead vocals, background vocals, and all additional arrangement layers.
Item 8
Revision Round 1
One consolidated list of change requests after initial delivery. Requests must be submitted together.
Item 9
Revision Round 2
Second revision round. Same consolidated batch rules as Round 1.
Item 10
Worldwide Exclusive Buy-Out License
Upon full payment, Client receives exclusive, perpetual, worldwide rights to all deliverables. No ongoing fees of any kind. The Company will not license these compositions to any third party. License is non-transferable without prior written consent from the Company.
Item 11
File Delivery
All deliverables via secure cloud download link, 30-day active window. Client must acknowledge receipt in writing. Re-delivery after expiration: $50.
Scope of Work - Identity Exclusives (Items 12-19)
The following deliverables are unique to the Identity package and are in addition to the Starter baseline above.
Item 12
Sonic Logo
1 original musical mnemonic, 3-5 seconds in duration, thematically derived from the Brand Theme. Functions as the brand's audio signature that triggers instant brand recognition. Used at the end of commercials, in app notification sounds, on-hold system idents, or any high-frequency touchpoint requiring immediate recognition. Distinct from the full Brand Theme; composed as a standalone short-form identifier.

Social Media Micro-Loop A: 15 Seconds
1 seamlessly looping audio clip, 15 seconds duration. Optimized for high-energy short-form content: Instagram Stories, TikTok, and Facebook Reels. Loop start and end points edited to be transparent, with no audible click, gap, or discontinuity when the clip repeats.
Item 14
Social Media Micro-Loop B: 30 Seconds
1 seamlessly looping audio clip, 30 seconds duration. Optimized for longer-format social content: YouTube Shorts, Instagram Reels (up to 60 sec), LinkedIn video posts, and website hero sections. Loop is transparent.
Item 15
Social Media Micro-Loop C: 8 to 10 Seconds
1 seamlessly looping audio clip, 8 to 10 seconds duration. Optimized for ultra-short vertical content: YouTube Bumper Ads, Snapchat, and quick promo cuts. High-energy and immediately impactful from the first beat. Loop is transparent.
Item 16
Genre Mood-Board Session
1 pre-production alignment session conducted before composition begins. Format: 45-minute video call OR async audio reference exchange (Client shares reference tracks; Company responds with a curated sound palette). Purpose: establish agreed-upon genre, tempo range (BPM), instrumentation palette, and emotional tone. Deliverable: a written Creative Brief summarizing the agreed musical direction, signed off by both parties before production begins. This session must be scheduled within 7 business days of contract execution. No composition work begins until the Creative Brief is finalized.
Item 17
Brand-Sound Consultation
1 post-delivery strategy session, 45 minutes, via video call. Purpose: review all delivered assets, discuss platform-specific deployment strategies, usage best practices per channel (podcast, social media, broadcast, phone/on-hold, corporate presentations), and address implementation questions. This is a strategy and education session, not a revision session, and is separate from the revision process. Must be scheduled and completed within 30 calendar days of final delivery.
Item 18
Revision Round 3
Third revision round, in addition to the 2 included in the Starter baseline. Same scope and batch-submission rules apply: all change requests must be submitted together as a single written document before the round is opened.
Item 19
Revision Round 4: Final Included Round
Fourth and final revision round included in the Identity package. Same rules as above. This is the last revision included at no additional cost. Additional revisions beyond Round 4 are available at $350 per round with written add-on authorization.

Timeline and Client Obligations
Estimated Timeline: 2 to 4 Weeks
Week 1: Genre Mood-Board Session (Item 16) and Creative Brief finalization - no composition begins until complete.
Weeks 2-3: Brand Theme composition, Sonic Logo, and Micro-Loops. Initial draft delivered.
Week 4: Revision Rounds and final delivery. Brand-Sound Consultation (Item 17) scheduled within 30 days of delivery.
Timelines are estimates. Actual delivery may vary based on revision complexity, Client response times, and Mood-Board Session scheduling.
Client Obligations
- Schedule the Genre Mood-Board Session (Item 16) within 7 business days of contract execution.
- Sign the written Creative Brief before composition begins.
- Submit all revision requests as a single consolidated written batch per round.
- Respond to each delivery within 7 business days or the deliverable is deemed accepted.
- Schedule the Brand-Sound Consultation (Item 17) within 30 days of final delivery.
- Designate one authorized representative for all project decisions.
Payment Terms
Total Contract Value: $12,000.00 USD
50% deposit ($6,000.00) - due upon contract execution; no work begins until received.
25% progress payment ($3,000.00) - due upon approval of first draft.
25% final payment ($3,000.00) - due upon final delivery; files released upon receipt.
- All payments due within 15 days of invoice. Late balances accrue 1.5% monthly.
- The deposit is non-refundable once composition work has commenced.
- Prices exclude applicable state and local taxes, for which Client is solely responsible.
- Additional revision rounds beyond Item 19 are available at $350 per round with written authorization.
Intellectual Property and License
Upon receipt of final payment in full, the license described in Item 10 becomes effective and extends to all 19 contracted deliverables. Client receives exclusive perpetual worldwide commercial rights with no ongoing royalties or fees. Deliverables are produced through human-authored songwriting, arrangement, editing, and sound design, and may include algorithmic stem generation. The non-selected IP from any creative process remains the Company's property.
Permitted Uses (non-exhaustive)
- Broadcast TV, radio, and streaming ads
- Digital advertising across all platforms
- All social media platforms including TikTok, Instagram, YouTube
- Website and app integration
- Corporate events and presentations
- Retail and in-store playback
Prohibited Uses
- Resale or sublicensing to third parties
- Use by competing brands
- Claiming original authorship publicly
- Submitting inaccurate copyright filings that misrepresent production authorship
- Use in illegal or defamatory content
Legal Terms
Governing Law
This Agreement is governed by the laws of the State of Nevada. Exclusive jurisdiction lies in Clark County, Nevada state and federal courts.
Dispute Resolution
The parties agree to attempt good-faith resolution within 30 days of written notice before initiating arbitration. Binding arbitration in Clark County, Nevada under AAA Commercial Arbitration Rules shall be the exclusive remedy for unresolved disputes.
AI-Assisted Production and Copyright Filings
Client acknowledges that deliverables may include algorithmically generated source materials transformed through human-authored production. If Client seeks copyright registration, Client agrees to make accurate disclosures required by law. Upon written request, Company will provide a production breakdown describing human-authored and machine-assisted elements; Company does not provide legal advice. The Copyright Registration Support Addendum is available at /agreements/copyright-support-addendum and is executed only when filing support is requested.
Warranties
Company warrants that it has sufficient rights and authority to grant the license in Item 10, and that deliverables will be free from technical defects for 90 days from delivery. Company makes no warranty regarding subjective creative satisfaction, specific business outcomes, or acceptance of any copyright registration application by government authorities.
Limitation of Liability
Company's total liability under this Agreement shall not exceed the total amount paid by Client. In no event shall either party be liable for indirect, incidental, or consequential damages.
Breach and Enforcement
Material breach entitles Company to seek damages equal to 3× the contract value, injunctive relief, and reasonable attorney fees. Written notice of breach initiates a 30-day cure period except for willful violations.
Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the project. This includes creative concepts, business strategies, and proprietary production techniques.
Indemnification
Client indemnifies and holds Company harmless from any claims arising from Client's use of deliverables in violation of this Agreement. This obligation survives termination.
Force Majeure
Neither party is liable for delays caused by circumstances beyond their reasonable control.
Entire Agreement
This Agreement, together with the Company's Terms of Service at audiohooks.studio/terms, constitutes the entire agreement between the parties regarding the Identity package.
Severability and Modification
If any provision is deemed unenforceable, the remaining provisions remain in effect. Modifications require written agreement signed by both parties.
Electronic Signature Disclosure
Consent: Electronic signatures carry the same legal weight as handwritten signatures under the E-SIGN Act and Nevada Revised Statutes Chapter 719.

How This Agreement Becomes Binding
1. Offer: This Agreement constitutes the Company's offer to deliver the 19-item Identity scope of work.
2. Acceptance: Client accepts by (a) acknowledging this Agreement, (b) providing electronic signature, and (c) submitting the 50% deposit.
3. Consideration: $12,000 USD in exchange for the deliverables and buy-out license herein.
4. Binding Effect: Agreement is binding upon receipt of deposit and electronic acceptance.
