Agreement
This Complete Package Service Agreement ("Agreement") is entered into between Audio & Hooks Studio LLC, a Nevada Limited Liability Company ("Company"), and the undersigned client ("Client"). The Company agrees to provide, and the Client agrees to accept and pay for, the professional audio branding services described in the Scope of Work below. This Agreement incorporates the Company's Terms of Service in full.
The Complete package is cumulative and comprehensive. It includes all 11 Starter deliverables (Items 1-11), all 8 Identity-exclusive deliverables (Items 12-19), and 10 Complete-exclusive deliverables (Items 20-29), for a total of 29 contracted line items.
Note on revision structure: Item 28 (Unlimited Revisions, 30-Day Window) governs all revision activity for Complete clients and supersedes the individual named revision rounds inherited from the Starter and Identity baselines (Items 8, 9, 18, 19). Those items remain in the contract as part of the inherited baseline but their revision limits are subsumed within the unlimited window of Item 28.
Definitions
Complete Package - $22,000
A complete sonic ecosystem with every touchpoint covered and every asset strategically researched and crafted. Dual creative directions give you a choice before committing. Unlimited revisions within a 30-day window. Background underscore tracks, UI sounds, podcast suite, on-hold music, and a full audio brand guidelines PDF round out a system that works everywhere your brand lives.
Scope of Work - Starter Baseline (Items 1-11)
All 11 Starter deliverables are included in full. For Complete clients, the Brand Theme (Item 1) is delivered via the Dual Creative Direction process (Items 20-21).

Brand Theme Composition
1 original musical composition, 60 seconds (±3 sec), composed exclusively from scratch. Delivered via the Dual Creative Direction process (Items 20-21).

Ad-Ready Cut-Down: 30-Second Edit
1 precision-edited 30-second version preserving the most recognizable melodic hook.
Item 3
Ad-Ready Cut-Down: 15-Second Edit
1 precision-edited 15-second version for short-form ads and commercial tags.
Item 4
Vocal Mix
Full 60-second Brand Theme with all vocal elements at final mixed and mastered levels.
Item 5
Instrumental Mix
Full 60-second Brand Theme with all vocals removed, for VO layering and background use.
Item 6
A-Cappella Mix
Isolated vocal performance, no instrumentation, for remixing and sync licensing.
Item 7
Full Stems Package
All individual instrument and vocal tracks at full resolution, plus the final mastered stereo bounce.
Item 8
Revision Round 1
One consolidated revision batch. Superseded by Item 28 for Complete clients; batch-submission rules still apply within the Revision Window.

Revision Round 2
Second revision batch. Superseded by Item 28 for Complete clients.
Item 10
Worldwide Exclusive Buy-Out License
Upon full payment, Client receives exclusive, perpetual, worldwide rights to all 29 deliverables. No ongoing fees. The Company will not license these compositions to any third party. The non-selected creative direction (Item 21) is not included in this license and remains Company IP.
Item 11
File Delivery
All deliverables via secure cloud download link, 30-day active window, organized into labeled folders. Re-delivery after expiration: $50.

All Identity-exclusive deliverables are included in full.

Sonic Logo
1 original musical mnemonic, 3-5 seconds, thematically derived from the Brand Theme. Functions as the brand audio signature for commercials, app notifications, and on-hold idents.

Social Media Micro-Loop A: 15 Seconds
1 seamlessly looping 15-second clip for Instagram Stories, TikTok, and Facebook Reels. Transparent loop points.
Item 14
Social Media Micro-Loop B: 30 Seconds
1 seamlessly looping 30-second clip for YouTube Shorts, Instagram Reels, LinkedIn video, and website hero sections.
Item 15
Social Media Micro-Loop C: 8 to 10 Seconds
1 seamlessly looping 8 to 10 second ultra-short clip for YouTube Bumper Ads and Snapchat. Transparent loop.
Item 16
Genre Mood-Board Session
1 pre-production alignment session (45-min video call or async reference exchange) to establish genre, BPM range, instrumentation palette, and emotional tone. Deliverable: written Creative Brief signed by both parties. Must be scheduled within 7 business days of contract execution. No composition begins until the Creative Brief is finalized.

Brand-Sound Consultation
1 post-delivery 45-minute strategy session covering platform-specific deployment, usage best practices, and implementation Q&A. Strategy only, not a revision session. Must be scheduled within 30 calendar days of final delivery.

Third revision round. Superseded by Item 28 for Complete clients; batch-submission rules still apply within the Revision Window.

Item 20
Dual Creative Direction A
A fully realized musical interpretation of the Brand Theme in one agreed-upon genre and style (established during the Genre Mood-Board Session). Delivered at final production quality, including full-length, 30-second, and 15-second versions for Client evaluation.
Item 21
Dual Creative Direction B: Non-Selected Direction Not Licensed
A fully realized musical interpretation of the Brand Theme in a second, distinctly different genre or style, at the same quality as Direction A. Client selects one direction to proceed with as the contracted final Brand Theme. The non-selected direction is NOT licensed to the Client and may not be used, reproduced, distributed, or shared in any form. The non-selected composition remains the exclusive intellectual property of the Company.

Background Underscore Track A: 60-Second Loop
1 ambient background music track, 60 seconds, derived from melodic or harmonic elements of the Brand Theme. Designed for continuous background playback behind video content, presentations, website audio, and corporate event environments. Sits below spoken content without competing. Seamlessly looping with no audible gap on repeat. Lower dynamic energy than the main Brand Theme.

Background Underscore Track B: 30-Second Loop
1 alternate ambient background music track, 30 seconds, in a contrasting energy level from Track A (e.g., one uptempo/engaging, one calm/contemplative). Provides tonal flexibility for content requiring a different emotional register, such as a bold brand video vs. a quiet testimonial segment. Seamlessly looping.
Item 24
UI Sound Effects Package: 3 Branded Sounds
3 short branded sound effects, each 1 to 3 seconds in duration, thematically consistent with the Brand Theme in key, texture, and character. Designed for digital product applications: mobile app interactions, website feedback sounds, notification chimes, and alert indicators. Examples: success/confirmation chime, notification ping, error/alert tone. Delivered as dry WAV files (no applied reverb unless specifically requested) for direct integration by a developer or designer.
Item 25
Podcast Intro Track
1 custom podcast intro, 15-30 seconds, featuring elements of the Brand Theme arranged to build anticipation and establish brand identity at the top of each episode. Delivered cold (no fade-in; starts at full energy immediately) and fades naturally at the end. Optional: Client provides a clean voice recording of their brand name or tagline for integration; a placeholder version is delivered if no recording is available.

Podcast Outro Track
1 custom podcast outro, 15-30 seconds, designed to close episodes with a recognizable branded finish. Features a thematic callback to the Brand Theme, building from a transitional open and closing with the Sonic Logo sting as the final punctuation. Delivered with a natural fade-in at the beginning and a clean, defined tail at the end, allowing natural space for a verbal call-to-action.
Item 27
On-Hold Music Track
1 seamlessly looping on-hold background music track. Minimum 5 minutes of unique audio content structured as a repeating loop. Derived from the Brand Theme at a reduced energy level appropriate for extended listening. Mixed to -23 LUFS integrated loudness (ITU-R BS.1770 standard) for telephone system compatibility. No audible gap or discontinuity on loop repeat.
Item 28
Unlimited Revisions: 30-Day Window
Unlimited revision rounds beginning from the date of first asset delivery and closing exactly 30 calendar days later (the "Revision Window"). There is no cap on the number of rounds within this window. All requests must be submitted in writing via the project portal or email. Each round must be submitted as a consolidated batch. Incremental piecemeal feedback will be grouped into the next formal batch. Revisions after the Revision Window closes are billed at $350 per round and require a new written authorization.

Audio Brand Guidelines PDF
A professionally designed PDF document (minimum 10 pages) establishing the official reference for how the brand's audio assets are to be used. Contents: (a) Complete asset inventory: filename, duration, format, and recommended use case for every delivered file; (b) Platform-specific usage guidelines for social media, broadcast, digital advertising, telephone/on-hold, podcast, website, and live events; (c) File format recommendations by use case; (d) Loudness standards: target LUFS values per major platform (Spotify, Apple Podcasts, YouTube, broadcast); (e) Do's and don'ts for audio deployment; (f) Brand audio personality statement for onboarding team members, agencies, or third-party vendors. Delivered as both a print-ready PDF (300 DPI, CMYK) and a web-optimized PDF.
Services Not Included in This Package
- Live orchestra recording or external session musicians requiring third-party engagement
- Video production, motion graphics, or visual brand asset creation
- Media placement, advertising, or content distribution services
- Ongoing audio maintenance or annual brand health audits (available as a separate retainer)
- Music publishing, distribution, or sync licensing to third parties
- Voiceover artist or narrator sourcing and recording (Client provides VO talent)
- Additional creative directions beyond the two included in Items 20-21
- Revision rounds submitted after the 30-day Revision Window closes (billed at $350 per round)
Timeline and Client Obligations
Estimated Timeline: 2 to 4 Weeks
Week 1: Genre Mood-Board Session (Item 16) and Creative Brief finalization - required before all composition starts.
Weeks 2-3: Dual Creative Directions produced (Items 20-21), Client selects direction, composition and all derivative assets begin.
Week 4: First assets delivered. 30-day Revision Window opens. Brand-Sound Consultation (Item 17) and Audio Brand Guidelines (Item 29) delivered within this period.
Timelines are estimates. The scope of the Complete package is significant; actual delivery schedules will be confirmed in the project kick-off call.
Client Obligations
- Schedule the Genre Mood-Board Session (Item 16) within 7 business days of contract execution.
- Sign the written Creative Brief before any composition begins.
- Select a creative direction from Items 20-21 within 5 business days of delivery.
- Submit all revision requests as a single consolidated written batch per round, within the 30-day Revision Window.
- Schedule the Brand-Sound Consultation (Item 17) within 30 days of final delivery.
- Respond to each delivery within 7 business days or the deliverable is deemed accepted.
- Designate one authorized representative for all project decisions.
- If providing VO audio for Item 25, deliver a clean, noise-free recording within 14 days of contract execution.
Payment Terms
Total Contract Value: $22,000.00 USD
50% deposit ($11,000.00) - due upon contract execution; no work begins until received.
25% progress payment ($5,500.00) - due upon Client selection of creative direction and approval to proceed.
25% final payment ($5,500.00) - due upon final delivery; files released upon receipt.
- All payments due within 15 days of invoice. Late balances accrue 1.5% monthly.
- The deposit is non-refundable once any composition work has commenced.
- Prices exclude applicable state and local taxes, for which Client is solely responsible.
- Revision rounds submitted after the 30-day window closes are $350 per round with written authorization.
Intellectual Property and License
Upon receipt of final payment in full, the license described in Item 10 becomes effective and extends to all 29 contracted deliverables, excluding the non-selected creative direction (Item 21), which remains exclusively the Company's intellectual property. Client receives exclusive perpetual worldwide commercial rights to all licensed deliverables, with no ongoing royalties or fees of any kind. Deliverables are produced through human-authored songwriting, arrangement, editing, and sound design, and may include algorithmic stem generation.

- Corporate events, presentations, live events
- Retail and commercial environments
Prohibited Uses
- Resale or sublicensing to third parties
- Use by competing brands
- Use of the non-selected direction (Item 21)
- Claiming original authorship publicly
- Submitting inaccurate copyright filings that misrepresent production authorship
- Use in illegal or defamatory content
Legal Terms
Governing Law
This Agreement is governed by the laws of the State of Nevada. Exclusive jurisdiction lies in Clark County, Nevada state and federal courts.
Dispute Resolution
The parties agree to attempt good-faith resolution within 30 days of written notice before initiating arbitration. Binding arbitration in Clark County, Nevada under AAA Commercial Arbitration Rules shall be the exclusive remedy for unresolved disputes.
Non-Selected Direction (Item 21)
The non-selected creative direction produced under Item 21 is explicitly excluded from the buy-out license and remains the exclusive intellectual property of the Company. Client's receipt of the non-selected direction files solely for evaluation purposes does not convey any license or right of use. Any unauthorized use of the non-selected direction constitutes copyright infringement and breach of this Agreement.
AI-Assisted Production and Copyright Filings
Client acknowledges that deliverables may include algorithmically generated source materials transformed through human-authored production. If Client seeks copyright registration, Client agrees to make accurate disclosures required by law. Upon written request, Company will provide a production breakdown describing human-authored and machine-assisted elements; Company does not provide legal advice. The Copyright Registration Support Addendum is available at /agreements/copyright-support-addendum and is executed only when filing support is requested.
Warranties
Company warrants that it has sufficient rights and authority to grant the license in Item 10, and that deliverables will be free from technical defects for 90 days from delivery. Company makes no warranty regarding subjective creative satisfaction, specific business outcomes, or acceptance of any copyright registration application by government authorities.
Limitation of Liability
Company's total liability under this Agreement shall not exceed the total amount paid by Client. In no event shall either party be liable for indirect, incidental, or consequential damages.
Breach and Enforcement
Material breach - including unauthorized use of the non-selected direction, sublicensing, or use by third parties - entitles Company to seek damages equal to 3× the contract value, injunctive relief, and reasonable attorney fees. Written notice of breach initiates a 30-day cure period except for willful violations.
Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the project, including creative concepts, business strategies, and production techniques.
Indemnification
Client indemnifies and holds Company harmless from any claims arising from Client's use of deliverables in violation of this Agreement, including use of the non-selected direction. This obligation survives termination.
Force Majeure
Neither party is liable for delays caused by circumstances beyond their reasonable control.
Entire Agreement
This Agreement, together with the Company's Terms of Service at audiohooks.studio/terms, constitutes the entire agreement between the parties regarding the Complete package.
Severability and Modification
If any provision is deemed unenforceable, the remaining provisions remain in effect. Modifications require written agreement signed by both parties.
Electronic Signature Disclosure
Consent: Electronic signatures carry the same legal weight as handwritten signatures under the E-SIGN Act and Nevada Revised Statutes Chapter 719.

How This Agreement Becomes Binding
1. Offer: This Agreement constitutes the Company's offer to deliver the 29-item Complete scope of work described above.
2. Acceptance: Client accepts by (a) acknowledging this Agreement, (b) providing electronic signature, and (c) submitting the 50% deposit.
3. Consideration: $22,000 USD in exchange for the deliverables and buy-out license herein.
4. Binding Effect: Agreement is binding upon receipt of deposit and electronic acceptance.
